By 31 December 2023, all existing companies must conform to the new Code of Companies and Associations. In addition, since 1 January 2023, a reduced cost for the incorporation of private limited companies to the default model on e-notariat. While the new company law undeniably offers the advantage of default rules, the mandatory adaptation of many articles of association presents a unique opportunity to get creative. This seminar guides notaries through the wide range of possibilities offered by the CCA to provide in elaborate tailor-made clauses in deeds of incorporation, articles of association and other agreements. It focuses on the new go-to company form: the limited liability company. In doing so, the notary can proactively and creatively provide tailor-made solutions depending on the specific situation of the shareholders.
